Terms of Use

These Terms of Use ("Terms") govern your access to and use of the products and services provided by Halli Group ("we," "us," or "our"), including Halli.io, Halcell, Halcheck, and any related websites, APIs, or applications (collectively, the "Services"). By using the Services, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization.

2. Accounts

You are responsible for maintaining the security of your account credentials, API keys, and any secrets stored in the Services. You must notify us immediately at hello@halligroup.com if you suspect unauthorized access.

You may not share your account with others or create multiple accounts to circumvent usage limits.

3. Subscriptions and Payment

Paid Services are billed on a monthly subscription basis through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

• Prices are listed on the relevant product page and may change with 30 days' notice.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• No refunds are provided for partial billing periods.
• If payment fails, we may suspend access to the Services until payment is resolved.

4. Acceptable Use

You agree not to:

• Use the Services for any illegal purpose or in violation of any applicable law
• Attempt to reverse-engineer, decompile, or extract source code from the Services
• Interfere with the operation of the Services or circumvent security measures
• Use the Services to store, transmit, or process content that infringes the rights of others
• Exceed your plan's usage limits through automated means or abuse
• Resell access to the Services without written permission

We reserve the right to suspend or terminate accounts that violate these terms.

5. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. You retain ownership of all data you submit to the Services. We do not claim ownership of your data or content.

When using Halcheck's encrypted vault, you acknowledge that you are responsible for the API keys and credentials you store. We encrypt them at rest but do not validate or verify the credentials themselves.

6. Halcheck — Agent Safety Middleware

Halcheck provides AI-powered action verification. You acknowledge that:

• The LLM evaluation is advisory and may produce false positives or false negatives. You are ultimately responsible for the actions your agents perform.
• Halcheck's proxy feature executes HTTP requests on your behalf using your stored credentials. You are responsible for the actions taken through the proxy.
• We are not liable for damages caused by actions that were incorrectly allowed or denied by the evaluation system.
• Notification delivery (email, Telegram, WhatsApp, web push) depends on third-party services and is not guaranteed.

7. Halcell — Memory Platform

Halcell provides persistent memory for AI agents. You acknowledge that:

• You are responsible for the content stored in your memory cells.
• We may impose storage limits based on your plan.
• Memories are stored using semantic search (pgvector) and may be recalled based on relevance, not exact matching.

8. Halli.io — AI Receptionist

Halli.io provides AI-powered receptionist services. You acknowledge that:

• AI responses are generated automatically and may occasionally be inaccurate.
• You are responsible for the information provided to train your AI receptionist.
• Call recordings and chat logs are stored according to the Privacy Policy.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or changes that temporarily affect availability. We will provide reasonable notice for planned maintenance.

10. Limitation of Liability

To the maximum extent permitted by law, Halli Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Services.

Our total liability for any claim related to the Services is limited to the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Halli Group from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any law or third-party rights.

12. Intellectual Property

The Services, including all code, design, content, and trademarks, are the property of Halli Group. You may not copy, modify, or distribute any part of the Services without written permission, except as permitted by open-source licenses where applicable.

13. Termination

Either party may terminate this agreement at any time. You may cancel your subscription and stop using the Services. We may suspend or terminate your access if you violate these Terms.

Upon termination, your right to use the Services ceases. We may delete your data within 30 days of termination, except where retention is required by law.

14. Governing Law

These Terms are governed by the laws of Mexico. Any disputes arising from these Terms or the Services shall be resolved in the courts of Mexico.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Services. Continued use after changes constitutes acceptance.
